Terms of Service

1. Acceptance of Terms

By accessing or using PadVox (the "Service"), including the iOS application and web platform at app.padvox.com, you agree to be bound by these Terms of Service. The Service is operated by Carlos Garcia ("we," "our," or "us"). If you do not agree to these terms, do not use the Service.

2. Description of Service

PadVox is a band and music project management platform that provides tools for event planning, setlist management, stage plot design, rider creation, tour logistics, financial tracking, ticketing, and team collaboration. The Service includes a mobile application (iOS) with audio/multitrack capabilities and a web platform for planning and administration.

3. Account Registration

  • You must create an account to use the Service. You can sign up using email/password or Apple Sign In.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • You must provide accurate and complete information when creating your account.
  • You must be at least 13 years old to use the Service.
  • You agree to notify us immediately of any unauthorized use of your account.

4. Subscriptions and Payments

4.1 Free and Paid Plans

PadVox offers a free tier with limited features and paid subscription plans (Pro and Business) with additional capabilities. Feature availability and limits for each tier are described on the subscription page within the Service.

4.2 Billing

  • iOS subscriptions are billed through Apple's App Store and are subject to Apple's terms and refund policies.
  • Web subscriptions are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annual).
  • The project owner pays for the subscription. All members of the project receive full access to the subscribed tier's features at no additional cost.

4.3 Cancellation and Refunds

  • You may cancel your subscription at any time. Access continues until the end of the current billing period.
  • For iOS subscriptions, manage cancellation through your Apple ID settings. Refunds are handled by Apple.
  • For web subscriptions, cancel through the subscription management page. Refund requests can be sent to privacy@padvox.com.

4.4 Price Changes

We reserve the right to change subscription prices. We will notify existing subscribers at least 30 days before any price increase takes effect. Continued use after the change constitutes acceptance.

5. User Content

5.1 Ownership

You retain ownership of all content you create or upload to the Service, including music, audio files, images, documents, event data, and project information ("User Content").

5.2 License to PadVox

By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing and improving the Service. We do not use your content for advertising or share it with third parties except as described in our Privacy Policy.

5.3 Prohibited Content

You agree not to upload or share content that:

  • Infringes on intellectual property rights of others.
  • Contains malware, viruses, or harmful code.
  • Is illegal, defamatory, or promotes violence or discrimination.
  • Violates the privacy of others.

6. Ticketing

If you use PadVox's ticketing features to sell event tickets, you agree that:

  • You are solely responsible for the accuracy of event information.
  • A platform fee (commission) may be applied to ticket sales, as displayed at the time of event setup.
  • Ticket payouts are processed through Stripe Connect. You must have a valid Stripe account to receive payouts.
  • You are responsible for honoring tickets sold through the platform and for any refunds or disputes with ticket holders.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use automated tools (bots, scrapers) to access the Service without our prior written consent.
  • Resell, redistribute, or sublicense the Service without authorization.

8. Intellectual Property

The Service, including its design, features, code, logos, and branding, is owned by Carlos Garcia and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written consent.

9. Termination

  • You may delete your account at any time through the settings page or by contacting us.
  • We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice.
  • Upon termination, your right to use the Service ceases. We may retain certain data as required by law or described in our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We are not responsible for any data loss resulting from your use of the Service.

11. Limitation of Liability

To the maximum extent permitted by law, Carlos Garcia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, arising from your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
